INA Annual Meeting Bylaws

On behalf of the INA Bylaws Committee, we are submitting to the membership seven (7) proposed bylaw amendments. 
 
Membership will vote on these proposed amendments at the upcoming INA Annual Membership Meeting which will be held on Tuesday, October 19, 2021 via Zoom.
 
Proposed amendments to the bylaws are presented in the order of suggested consideration: 
 
  • Amendment #1 The proposed changes reflect a simpler categorization of membership to promote membership of both INA and ANA.  
  • Amendment #2 - In order to reflect the changes in membership classification set forth in AMENDMENT #1, each reference in these Bylaws to “INA Only member” shall be replaced with “INA/ANA Premier member”, and each reference to “INA/ANA member” shall be replaced with “INA/ANA Standard member”. 
  • Amendment #3 – Regions
  • Amendment #4 – Board of Directors
  • Amendment #5– to be in alignment with ANA and move to a INA membership assembly rather than an annual meeting
  • Amendment #6–Committees
  • Amendment #7–Nominations and Elections

Summary of the Proposed Bylaw Amendments:
The INA Bylaws Committee recommends categories of membership be updated to mirror the American Nurses Association (ANA) to promote changes that occur during 2019 ANA Membership Assembly Structure in membership and dues and for consistency of membership categories at the state affiliate level. The proposed changes reflect a simpler categorization of membership to promote membership of both INA and ANA.
 
In order to reflect the changes in membership classification set forth in AMENDMENT #1, each reference in these Bylaws to “INA Only member” or “INA/ANA member” shall be replaced with “member”.
 
The INA Bylaws Committee recommends restructuring expectations for each region, to align with region elections with State elections, which will allow for a smoother transition for region liaison to transition to the INA board of directors.
Proposed deletions are indicated with a strikethrough and the INA Bylaws Committee is recommending a restructuring of the expectations for the board of directors, terms of office. Adds the role of nomination committee chair to the immediate past president role.
 
The INA Bylaws Committee recommends changing the name of annual meeting to Membership Assembly to align with ANA structure. Establishes a definition for a quorum needed to conduct business of the organization. Removes the need for proxy votes at annual meetings.
 
The INA Bylaws Committee recommends establishing new committees, method for selecting committee chairs that are not already defined elsewhere in the Bylaws. Defines terms of offices for committee members.
 
The INA Bylaws Committee recommends allowing INA to hold elections at anytime of the year, yet still providing adequate notice to members of the slate and voting prior to the Annual Membership Assembly.
 
If you are unable able to join us on October 19th, please make sure to submit a proxy form so your vote can be counted. For authentication purposes, the proxy needs to be received by Friday, October 15th at 5:00 pm to allow us time for the verification process
