Dear MASHN Members,

In preparation for our upcoming Annual Meeting on March 14, 2026, I am writing to share several proposed amendments to our bylaws for your review.

In accordance with the Maryland Association of School Health Nurses Bylaws (Article IX, Section 8, Part A), amendments require a two-thirds (2/3) vote of the membership at the Annual Meeting. Per our regulations, notice of these amendments was provided to the President at least 60 days prior to the meeting. Specifically, these recommendations were presented by the Bylaws Chair to then-President Elizabeth Elliott and the Board of Directors during our November 2025 Board Retreat.

Following a period of discussion and refinement by the Board, these amendments are now ready for membership consideration.

Summary of Proposed Changes

Attached to this email, you will find the current bylaws (last revised in 2021) and the full text of the proposed amendments. Key changes include:

  • Board Composition: Increasing the number of “Directors” to align with the number of elected positions.

  • Inclusivity: Adding an Independent-Private School Representative as an elected position.

  • Certification Support: Adding NBCSN Committee and election of two (2) Liaison positions to provide intentional support for certified members and those seeking certification.

  • Committee Structure: Clarifying the maximum number of members on the Nomination Committee.

  • Leadership Alignment: Removing the one-year term limit for the Past President to allow for duties as assigned by the President, aligning MASHN with the current NASN structure.

  • Governance & Eligibility: Clarifying eligibility for specific elected positions to ensure fiduciary responsibility and long-term organizational success.

  • Director Expectations: Defining clear expectations for corporation Directors, including maintaining membership in good standing and adhering to their elected or appointed roles.

  • General Updates: Necessary grammatical corrections and formatting updates to reflect the items above items and found during finalization.

We value your input. Please submit any feedback by March 4, 2026 (within 7 days), to allow the Board time to review and finalize the amendments before the formal vote at the Annual Meeting. Please reply directly to this email with your feedback.
